MERGERS & ACQUISITIONS 
 
We have advised on mergers and acquisitions in the fields of fashion retail, industrial gases, oilfield services, pharmaceuticals, medical devices and information technology, and regularly advise major clients in the acquisition and sale of business entities and product lines. Our attorneys are experienced in conducting the due diligence required for local and international M&A projects.
COMPANY FORMATION

 

We have successfully registered hundreds of small, medium and large limited liability companies, branches, professional services companies, temporary commercial registrations and technical and scientific offices in the Kingdom, including related joint venture agreements, share sales and transfers, and corporate secretarial work in a broad range of sectors, including energy, oil field services, construction, pharmaceuticals, publishing, management services, architecture and engineering, industry.  We have developed a strong and positive relationship with the Saudi Arabian General Investment Authority in Riyadh, Dammam and Jeddah, as well as with the Ministry of Commerce & Investment and other government agencies.

LITIGATION 

 

We handle cases before various Saudi courts both on first instance and appeal, and have advised on all types of insurance matters and claims, contract disputes, fraud, bankruptcy and employment disputes before the Grievance Board, the Shari’a Court (court of first instance) and its Appeals Court, the Saudi Arabian Banking Disputes Committee, the Capital Market Authority Securities Disputes Committee, the Negotiable Instruments Committee, the Labor Disputes Committee and Appeals Board, the London Court of International Arbitration and the International Chamber of Commerce.
CORPORATE RESTRUCTURING 
 
We have handled a wide range of merger, acquisition and corporate reorganization and restructuring projects, including share transfers for mixed Saudi/foreign as well as Saudi/GCC entities, reorganizing a large local group and corporate splits for two U.S.-based multinationals, $46 million sale of majority interest in oilfield services company to foreign and local shareholders, exit by Japanese multinational from telecommunications construction firm, pipe manufacturing merger, and Saudi aspects of global split of pharmaceuticals company into proprietary and legacy spinoffs.
CORPORATE SECRETARIAL

 

We provide annual license and registration renewals for 30+ foreign clients, with a wide range of offerings ranging from basic renewals to legal advice and support, amendments to foreign investment license and commercial registration certificates, replacement of general managers and directors and other services as needs may require.
LABOR & EMPLOYMENT
We assist clients with employment matters, including drafting and reviewing employment contracts for various types of employee, securing visas and advising on hiring, termination and benefits, and work rules for submission to the Ministry of Labor.  We have represented our corporate clients in hundreds of cases before the Saudi Labor Courts, both first instance on appeal.
INTELLECTUAL PROPERTY

 

We have successfully registered hundreds of trademarks, and followed up with appeals challenges and every other aspect of trademark registration, opposition and defense. We have also registered and defended and contested numerous license and franchise agreements for Western and local clients, and represented franchisors and manufacturers before the Conciliation Committee of the Chamber of Commerce in actions seeking to deregister expired or terminated distribution and franchise agreements.  We have registered patents, and handled copyright and industrial design issues.  
CONSTRUCTION & ENGINEERING 
 
We have represented a wide range of construction clients in contract negotiations, administration and claims. Recent infrastructure projects include representing a U.S. industrial gas company in acquiring equity positions in two Saudi firms; representing one Canadian and one European incumbent power company in contracts with the Saudi Electricity Corporation; representing leading global consulting and architecture firms in negotiating and performing contracts with Saudi Arabian General Investment Authority, Saudi Arabian Basic Industries Corporation, Modon and other Saudi government clients; and contract administration and claims for major government and private sector projects.  
LIQUIDATIONS
 
We are currently handling 15+ liquidations of various types of local entity, including deregistration at the various agencies, obtaining final tax and labor clearance certificates, negotiating settlements with local partners, settlement of claims and all other complications that often arise with such projects.

We register, convert and liquidate local companies, handle their regulatory affairs before the Capital Market Authority, the Saudi Food and Drug Authority, the Communications and Information Technology Commission, the Ministry of Commerce Competition Commission and other regulatory agencies.
